Terms and Conditions
Introduction
These Terms and Conditions govern the use of Atlas and any related services provided by WFS Atlas Ltd.
By accessing or using Atlas, customers agree to be bound by these Terms and Conditions.
Definitions
Atlas
The Atlas software platform and associated services provided by WFS Atlas Ltd.
Customer
The organisation using Atlas.
User
An individual authorised by the Customer to access Atlas.
Operational Data
Product, lifecycle, warranty, service, returns, audit and governance information processed within Atlas.
Service Description
Atlas is a serial-centric operational governance platform.
Atlas is designed to support:
- Warranty governance
- Operational decision control
- Returns management
- Field service governance
- Product lifecycle management
- Auditability
- Operational reporting
Atlas is not a customer relationship management platform and should not be treated as the sole repository of customer communications.
Customer Responsibilities
Customers are responsible for:
- Maintaining accurate data
- Managing user access
- Protecting credentials
- Complying with applicable laws
- Maintaining appropriate operational procedures
Customers remain responsible for all operational decisions made within their organisation.
Operational Decision Responsibility
Atlas provides governance, workflow and decision-support capabilities.
Atlas does not assume responsibility for:
- Warranty decisions
- Commercial decisions
- Replacement approvals
- Engineer dispatch decisions
- Regulatory obligations
- Customer outcomes
Final operational responsibility remains with the Customer.
Data Ownership
Customers retain ownership of their operational data.
WFS Atlas Ltd does not claim ownership of customer operational records.
Customers grant Atlas permission to process data solely for the purpose of providing and supporting the service.
Acceptable Use
Customers must not:
- Use Atlas unlawfully
- Attempt unauthorised access
- Interfere with platform operation
- Upload malicious content
- Circumvent security controls
Additional requirements may be set out in the Acceptable Use Policy.
Availability
Atlas will use reasonable efforts to maintain service availability.
WFS Atlas Ltd does not guarantee uninterrupted availability.
Maintenance, upgrades and external service dependencies may affect availability.
Security
Atlas implements reasonable technical and organisational measures to protect customer information.
Customers remain responsible for:
- User account security
- Access management
- Credential protection
Intellectual Property
All Atlas software, documentation, workflows, designs, branding and intellectual property remain the property of WFS Atlas Ltd unless otherwise agreed in writing.
These Terms do not transfer ownership of intellectual property.
Fees and Payment
Where applicable:
- Fees are payable in accordance with agreed commercial terms
- Invoices must be paid within agreed payment terms
- Late payments may result in service suspension
Implementation and consultancy services may be charged separately from software subscriptions.
Limitation of Liability
To the maximum extent permitted by law:
WFS Atlas Ltd shall not be liable for:
- Indirect losses
- Consequential losses
- Loss of profits
- Loss of business opportunities
- Operational decisions made by customers
Total liability shall not exceed fees paid by the customer during the preceding twelve months unless otherwise agreed in writing.
Termination
Either party may terminate services in accordance with agreed contractual arrangements.
Upon termination:
- Customer access may be removed
- Data handling will be managed in accordance with applicable agreements and policies
Changes
WFS Atlas Ltd may update these Terms and Conditions from time to time.
The latest version will be made available through Atlas or the Atlas website.
Governing Law
These Terms and Conditions shall be governed by the laws of England and Wales.
Any disputes shall be subject to the jurisdiction of the courts of England and Wales.
